Terms of Use Agreement

Last Updated · 11 May 2026

Welcome and thank you for your interest in Looklab ("Looklab", "Company", "we", "us", or "our"), operated by Max Lang Inc., a New York corporation. Contact: hello@look-lab.ai.

This Terms of Use Agreement ("Terms of Use", and together with any applicable Supplemental Terms as defined in Section 1.2, the "Agreement") describes the terms and conditions that apply to your use of (i) the website located at https://www.look-lab.ai and its subdomains, and any other websites where a link to these Terms of Use appears (collectively, the "Website") and (ii) the services, content, generated outputs, platform features, and other resources available on or enabled via the Website, including any application programming interfaces ("API") that we make available (collectively, with the Website, the "Service").

The Service is offered to users in the United States and the European Union. Where you are a consumer in the European Union, certain provisions of this Agreement are modified or supplemented as described in Section 16 (EU Users) and Section 17 (Dispute Resolution).

PLEASE READ THIS AGREEMENT CAREFULLY. IT GOVERNS YOUR USE OF THE SERVICE AND APPLIES TO ALL VISITORS AND USERS. BY ACCESSING OR USING THE SERVICE IN ANY WAY, YOU REPRESENT THAT: (1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THIS AGREEMENT; (2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT (AT LEAST 18 YEARS OLD); AND (3) YOU ARE NOT BARRED FROM USING THE SERVICE UNDER THE LAWS OF YOUR PLACE OF RESIDENCE OR ANY OTHER APPLICABLE JURISDICTION.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICE.

ARBITRATION AND CLASS-ACTION WAIVER (U.S. USERS ONLY). SECTION 17 CONTAINS AN AGREEMENT TO ARBITRATE AND A CLASS-ACTION/JURY-TRIAL WAIVER THAT APPLIES TO USERS RESIDENT IN THE UNITED STATES. UNLESS YOU OPT OUT WITHIN THIRTY (30) DAYS AS DESCRIBED IN SECTION 17.10, YOU AGREE TO RESOLVE DISPUTES BY BINDING INDIVIDUAL ARBITRATION AND WAIVE YOUR RIGHT TO A JURY TRIAL OR CLASS ACTION. THIS PROVISION DOES NOT APPLY TO CONSUMERS RESIDENT IN THE EUROPEAN UNION.

This Agreement is subject to change by Looklab in its sole discretion as set forth in Section 18.6 (Agreement Updates). Where you are a consumer, your statutory rights are not affected.

1. Use of the Service

1.1 Scope

The Service and the content available through it (including software, designs, generated images, prompts, reference imagery, and platform features) are protected by intellectual property and other applicable laws. Unless subject to a separate written agreement between you and Looklab, your right to access and use the Service is governed by this Agreement. If you access or use the Service on behalf of an entity (for example, a brand or company), you represent that you have authority to bind that entity, and all references to "you" or "your" include that entity. You also acknowledge and consent to our Privacy Notice (available at https://www.look-lab.ai/privacy) and Cookie Notice (available at https://www.look-lab.ai/cookies), which are incorporated into this Agreement by reference.

1.2 Licenses

Subject to your compliance with this Agreement, Looklab grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to: (i) access and use the Service; and (ii) access and use any APIs we make available to you (if any), solely for your own internal business or personal purposes.

Outputs you generate through the Service may be subject to separate licensing terms as described in Section 4 (Ownership) and Section 9 (Purchase Terms and Refunds), in particular the requirement to book a Project before any commercial use of certain Outputs.

1.3 Supplemental Terms

Your use of certain features may be subject to additional terms ("Supplemental Terms"), including any project-specific or feature-specific terms presented to you at the time of purchase or use, and any pricing terms posted on the Service from time to time. If these Terms of Use conflict with the Supplemental Terms, the Supplemental Terms control with respect to the relevant feature.

1.4 Updates

The Service is evolving. Looklab may update the Service with or without notifying you. You may need to update third-party software (such as your browser) from time to time to continue using the Service. Any future release, update, or addition to the Service is subject to this Agreement.

1.5 API Limitations

Looklab may limit (i) the number of network calls you may make via the API; (ii) the maximum file or generation size; (iii) the number of generations or downloads per period; and (iv) anything else about the API or the Service we deem appropriate. Looklab may impose or modify these limitations without notice and may suspend access where these limits are exceeded.

2. Registration and Accounts

2.1 Registering Your Account

To access most features of the Service, you must register an account ("Account"). Authentication may be provided through a third-party identity provider, in which case you are also subject to that provider's terms.

2.2 Registration Data

When registering, you must (i) provide true, accurate, current, and complete information ("Registration Data"), and (ii) maintain and promptly update the Registration Data.

2.3 Your Account

You acknowledge that you have no ownership interest in your Account; all rights remain with Looklab. You are responsible for all activity under your Account, must keep your password confidential, and must notify Looklab immediately of any unauthorized use. You may not create an Account using a false identity, on behalf of someone else without authority, or if you have previously been removed or banned from the Service. You may have only one Account at a time.

2.4 Minors

The Service is not intended for, and may not be used by, anyone under 18 years of age. We do not knowingly process Registration Data of minors. If we learn that an Account has been registered by a minor, we will close it.

3. Responsibility for Content

3.1 Types of Content

You acknowledge that all information, data, text, software, images, prompts, reference materials, generated outputs, ratings, comments, and other materials accessible through the Service (collectively, "Content") are the sole responsibility of the party from whom such Content originated. You — and not Looklab — are entirely responsible for all Content you upload, post, transmit, generate, or otherwise input or make available ("Make Available") through the Service ("Your Content"), and other users are similarly responsible for their Content ("User Content").

3.2 Storage

Looklab has no obligation to store any of Your Content (including reference images, product images, prompts, generated images, or chat sessions) indefinitely. Looklab may impose reasonable limits on file size, storage capacity, and retention period.

3.3 Reference Images and Product Uploads

When you upload reference images or product imagery (for example, photographs of garments to be visualized), you represent and warrant that you own or have all necessary rights, licenses, consents, and permissions to upload and use that material, including with respect to any persons, brands, trademarks, or copyrighted material visible in the image.

3.4 Connected Accounts

The Service may permit you to link third-party platforms (e.g., Shopify, ecommerce backends) to your Account ("Connected Accounts"). You are solely responsible for the proper integration of any Connected Account, and we have no liability for any failure of, or loss of access to, a Connected Account.

4. Ownership

4.1 The Service

Except for Your Content, you agree that Looklab and its suppliers and licensors own all right, title, and interest in the Service, including the underlying software, reference image library, prompt-engineering pipelines, watermarking systems, brand designs, trademarks, and proprietary technology. You shall not remove, alter, or obscure any copyright, watermark, trademark, or other proprietary notices.

4.2 Your Content

Looklab does not claim ownership of Your Content. By making Content available on the Service, you represent that you own or have sufficient rights to grant the license set forth in Section 4.3.

4.3 License to Your Content

Subject to your Account settings, you grant Looklab a non-exclusive, transferable, royalty-free, worldwide, sublicensable license (which includes any moral rights to the maximum extent permitted by law) to use, copy, reproduce, modify, adapt, prepare derivative works from, translate, distribute, publicly perform, and publicly display Your Content (in whole or in part) solely for the purposes of operating, providing, securing, improving, and marketing the Service to you and other users. This license terminates when Your Content is deleted from the Service, except where retention is required by law or where Outputs derived from Your Content remain in use under a separate license (e.g., a downloaded production file licensed under the applicable Project Terms).

4.4 Inputs and Outputs (AI Generation)

Looklab uses software and technology, including artificial intelligence and large image-generation models (collectively, "AI Systems"), to process user inputs — including text prompts, reference images, product slot uploads, and selections within the Service (collectively, the "Input", which is part of Your Content) — and generate outputs ("Output"). Looklab does not claim ownership of your Inputs or Outputs.

Your right to use Outputs is limited as follows:

(a) Watermarked Outputs (previews) generated through the Service may be used by you for internal evaluation, internal pitch decks, and pre-purchase team review only. Watermarked Outputs may not be used for commercial publication, advertising, social media posting, ecommerce listings, or any external distribution unless and until they are licensed under applicable Project Terms or otherwise expressly permitted in writing by Looklab.

(b) Production Outputs (downloads) delivered to you after you have booked and paid for a Project, and after all third-party rightsholder approvals required for that Project have been obtained, are licensed for commercial use solely in accordance with the terms presented at the time of that Project's purchase (the "Project Terms"). Project Terms govern the scope, duration, and permitted use of each licensed Output.

4.5 No Training on Brand-Identifying Inputs Without Consent

Looklab will not use a user's product imagery or proprietary brand assets uploaded as Inputs to train or fine-tune general-purpose AI models without the user's express consent. Looklab may use anonymized, de-identified, or aggregated metadata about Inputs and Outputs (such as generation success rates, latency, and prompt structure) to improve the Service.

4.6 Restrictions on Output Use

You shall not use Outputs (including watermarked previews) (i) as training data for any AI model; (ii) in any reverse-engineering or facial-extraction process; (iii) in a manner that is defamatory, sexually explicit, hateful, deceptive, or otherwise reasonably likely to harm the reputation or dignity of any individual depicted; (iv) to imply any endorsement, affiliation, or relationship with any individual depicted outside the scope of the licensed Project; (v) altered in a way that misrepresents the identity of any individual depicted; or (vi) in any manner that violates applicable law, including likeness rights, advertising regulation, the EU AI Act, or comparable U.S. state or federal laws.

4.7 Username and Identification

By submitting Content to any non-private area of the Service, you permit Looklab to identify you by your username as the source of that Content in connection with the operation of the Service.

4.8 Feedback

If you submit ideas, suggestions, or proposals to Looklab ("Feedback"), you do so at your own risk. Looklab has no obligations of confidentiality and may use Feedback freely, without restriction, attribution, or compensation.

5. Monitoring and Reporting

5.1 Monitoring

Looklab may, but is not obligated to, investigate, monitor, pre-screen, remove, refuse, or review the Service and any Content (including Your Content, Outputs, and User Content) at any time. You consent to such monitoring. You acknowledge you have no expectation of privacy in any communications transmitted through the Service.

5.2 Moderation

Looklab reserves the right to: (a) remove or refuse to process any Content or Output for any reason at our sole discretion; (b) take any action with respect to any Content or Output we deem necessary, including where we believe it violates this Agreement, infringes any rights, threatens harm to users or the public, or could create liability for Looklab; (c) disclose your identity or other information to any third party who claims that material posted by you violates their rights, including intellectual property rights, likeness rights, or rights of privacy; (d) take legal action, including referral to and cooperation with law enforcement; (e) terminate or suspend your access to all or part of the Service for any reason, including violation of this Agreement.

5.3 Disclosure

Looklab may disclose your information and any Content (including Outputs) to (i) comply with applicable laws, legal process, or governmental requests; (ii) enforce this Agreement; (iii) respond to claims that Your Content violates third-party rights; (iv) respond to your customer support requests; or (v) protect the rights, property, or safety of Looklab, its users, or the public.

6. User Conduct and Restrictions

6.1 General Restrictions

You shall not (and shall not permit any third party to): (i) use the Service for any purpose prohibited by this Agreement or applicable law; (ii) Make Available any Content, or knowingly create any Output, that: (a) is unlawful, threatening, abusive, harassing, defamatory, deceptive, fraudulent, invasive of privacy, obscene, hateful, or offensive; (b) infringes any rights of any person or entity, including copyright, privacy, publicity, trademark, patent, trade secret, biometric, contractual, or other rights; (c) depicts minors in any inappropriate or sexualized manner (depictions of minors are not permitted at all on the Service); (d) constitutes unauthorized advertising, spam, or bulk messaging; (e) violates any applicable law or regulation; (f) advocates or encourages any of the foregoing; (iii) use or access the Service or any Outputs to develop, modify, fine-tune, or improve any products or services that compete with the Service, including any AI or machine-learning models; (iv) use the Service to create or distribute deepfakes, non-consensual intimate imagery, fraudulent identification, or any output designed to mislead viewers about the identity, statements, or actions of any real person.

6.2 Other Restrictions

You shall not (and shall not permit any third party to): (i) license, sell, rent, lease, transfer, assign, reproduce, distribute, host, or otherwise commercially exploit the Service or any portion of it (other than commercial use of Outputs as expressly licensed under applicable Project Terms); (ii) frame or use framing techniques to enclose any trademark, logo, or other portion of the Service; (iii) use any metatags or hidden text using Looklab's name or trademarks; (iv) modify, adapt, translate, disassemble, decompile, reverse-compile, or reverse-engineer any part of the Service except where such restrictions are prohibited by applicable law; (v) use any automated means, scraper, crawler, or similar to extract data from the Service (except that we grant operators of public search engines limited revocable permission to index public pages); (vi) remove or alter any proprietary notices on or in the Service; (vii) impersonate any person or entity, including any employee or representative of Looklab; (viii) interfere with or attempt to interfere with the proper functioning of the Service, including by means of viruses, denial-of-service attacks, flooding, or similar; (ix) attempt to bypass watermarks, download gates, project approval requirements, or any other access control implemented by the Service.

6.3 Prohibited Content

Your Content may not contain nudity, sexually explicit material, real-world violence, biometric identifiers of third parties, content depicting minors, hate speech, harassment, or other content prohibited under applicable law, as determined by Looklab in its sole discretion. You may not upload an image of any real person other than yourself or a person who has explicitly consented through the Service.

7. Interactions with Other Users

7.1 User Responsibility

You are solely responsible for your interactions with other users and any other parties with whom you interact through the Service. Looklab reserves the right, but has no obligation, to intervene in any disputes. Looklab is not responsible for any liability incurred as a result of your interactions with other users.

7.2 User Content

The Service may include User Content provided by other users. Looklab is not responsible for and does not control User Content. Looklab makes no representations or warranties regarding User Content. You access and interact with User Content at your own risk.

8. Third-Party Services

The Service may contain links to third-party websites, applications, and services ("Third-Party Services"), and relies on third-party providers for hosting, payment processing, AI generation, analytics, and other infrastructure. When you use a Third-Party Service, you become subject to the terms and privacy policies of that provider. Looklab does not control and is not responsible for Third-Party Services. You use Third-Party Services at your own risk.

9. Purchase Terms and Refunds

9.1 Pricing

Pricing for the Service is displayed at the point of purchase and may be updated from time to time in accordance with Section 18.6. Prices may be presented as one-time fees, project-based fees, pre-paid credits or units, or any combination of the foregoing. Specific terms applicable to any purchase are presented to you before checkout.

9.2 Payment Processor

Looklab uses a third-party payment processor to handle all payment transactions. By making a payment, you agree to that processor's terms and privacy policy, and authorize Looklab and the processor to share information necessary to complete your transactions. Looklab does not receive or store your full payment card details.

9.3 Fees and Payment

You shall pay all fees ("Fees") at the prices in effect at the time the Fee is due. Looklab and its payment processor are authorized to charge your designated payment method for all Fees. You must keep your payment information accurate and up to date. Failure to pay constitutes a material breach. Looklab may suspend or terminate Account access immediately upon non-payment.

9.4 Pre-Paid Credits or Units

Where the Service offers pre-paid credits, units, or any similar mechanism for accessing paid features: (a) such credits may only be used within the Service in accordance with this Agreement and the terms presented at the time of purchase; (b) credits may expire as specified at the time of purchase; (c) unused credits may be forfeited upon Account closure or termination for material breach by you, except where applicable consumer-protection law requires otherwise; (d) credits have no cash value, are non-transferable, and are non-redeemable for cash except as required by law.

9.5 Promotional Credits

Looklab may, at its discretion, issue promotional credits. Promotional credits may expire as specified at issuance, have no cash value, are non-transferable, and are non-redeemable for cash except as required by law.

9.6 Refunds

Except as required by applicable law or as expressly set forth in this Section, all Fees and pre-paid amounts are non-refundable.

(a) Unused pre-paid amounts. You may request a full refund of any unused, unconsumed pre-paid amounts within fourteen (14) days of the original purchase by contacting us at hello@look-lab.ai.

(b) Consumed amounts. Any pre-paid amount that has been used to access the Service (for example, to produce a generation or download an Output) is non-refundable.

(c) Bookings not yet started. Where you have booked a Project but production has not begun and any required third-party rightsholder approvals have not yet been obtained, you may cancel the booking and receive a full refund of fees paid for that Project.

(d) Bookings in progress or completed. Once production has begun on a booked Project, or once any required third-party rightsholder approvals have been obtained, fees paid for that Project are non-refundable.

(e) Failed generations. Where a generation fails for reasons attributable to the Service, Looklab will automatically re-perform the action or credit your account with the equivalent amount of pre-paid credits. Cash refunds are not provided for individual failed generations.

(f) Material service unavailability. Where the Service is materially unavailable for an extended period for reasons attributable to Looklab, Looklab will, at its discretion, credit your account with a pro-rata amount or issue a pro-rata refund.

(g) Termination by Looklab without cause. Where Looklab terminates this Agreement without cause as set forth in Section 14.2, Looklab will refund the unused balance of any pre-paid amounts corresponding to fees paid.

Refund requests should be sent to hello@look-lab.ai with the subject line "Refund Request" and should include your account email and the relevant order or transaction reference.

9.7 EU Right of Withdrawal (Consumers Resident in the EU)

Where you are a consumer resident in the European Union, you have a statutory right to withdraw from a purchase of digital content within fourteen (14) days of purchase under the EU Consumer Rights Directive (2011/83/EU) and corresponding national implementing legislation.

However, by purchasing access to the Service and beginning use before the end of the withdrawal period, you expressly consent to the immediate provision of the digital content and acknowledge that you lose your right of withdrawal once the digital content has been delivered or used. Any unused, untouched purchase may be refunded within the 14-day withdrawal period upon written request to hello@look-lab.ai.

9.8 Taxes

Fees do not include any sales, use, value-added, GST, or similar taxes ("Taxes") that may be due in connection with the Service. Where Looklab is legally obligated to collect Taxes, they will be collected in addition to the Fees. EU customers should expect VAT to be added at the rate applicable to their jurisdiction; B2B customers in the EU with valid VAT IDs outside the seller's country may be subject to the reverse-charge mechanism. You are responsible for any other taxes or duties imposed by your jurisdiction.

9.9 No Subscription Auto-Renewal at This Time

The Service currently does not operate on an auto-renewing subscription model. If Looklab introduces subscriptions in the future, additional terms will apply and will be presented to you for acceptance before any subscription begins.

10. Indemnification

To the fullest extent permitted by law, you shall indemnify and hold Looklab and its parents, subsidiaries, affiliates, officers, employees, agents, partners, suppliers, and licensors (each, a "Looklab Party") harmless from any losses, costs, liabilities, and reasonable expenses (including reasonable attorneys' fees) arising out of or relating to: (i) Your Content and any Outputs you generate or use; (ii) your misuse of the Service; (iii) your violation of this Agreement; (iv) your violation of any rights of another party, including any user; (v) your violation of any export control, sanctions, AI regulation, or data-protection law; (vi) any dispute between you and a third party relating to your use of the Service; or (vii) your violation of any applicable law, rule, or regulation.

This Section does not require you to indemnify any Looklab Party for that party's own intentional misconduct, gross negligence, fraud, fraudulent misrepresentation, or for damages where indemnification is prohibited by mandatory consumer-protection law.

11. Disclaimer of Warranties

11.1 Service Offered "As Is"

TO THE FULLEST EXTENT PERMITTED BY LAW, YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE (INCLUDING ANY OUTPUTS) IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITH ALL FAULTS. THE LOOKLAB PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 Outputs

Looklab makes no representation or warranty as to the originality, legality, accuracy, fitness for purpose, or freedom from infringement of any Output. You acknowledge and agree that (i) Outputs may contain errors, omissions, artifacts, or unintended elements; (ii) you are solely responsible for any commercial use, distribution, or reliance on Outputs, including for legal compliance and respect of third-party rights; and (iii) the visual fidelity of any AI-generated depiction may not perfectly reflect any underlying reference.

11.3 Meeting Requirements

Looklab does not warrant that: (1) the Service or Outputs will meet your requirements; (2) your use of the Service will be uninterrupted, timely, secure, or error-free; or (3) any information obtained from use of the Service will be accurate or reliable.

11.4 Beta Features

Looklab may from time to time offer "beta" features for experimental purposes. Such features are provided without any warranty and may be modified or discontinued at any time.

11.5 No Liability for Conduct of Other Users or Third Parties

You are solely responsible for your interactions with other users and third parties. The Looklab Parties are not liable for the conduct of any other user or any third party.

11.6 Mandatory Consumer Rights

Nothing in this Section excludes or limits any warranty or right that cannot be excluded or limited under applicable mandatory consumer-protection law. If you are a consumer in the European Union, your statutory rights under EU and national consumer-protection law remain unaffected. If you are a consumer in a U.S. state, your statutory rights under that state's consumer-protection law remain unaffected to the extent they cannot be waived.

12. Limitation of Liability

12.1 Disclaimer of Certain Damages

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE LOOKLAB PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFIT, REVENUE, DATA, BUSINESS, OPPORTUNITY, GOODWILL, OR ANTICIPATED SAVINGS, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, THE SERVICE, ANY OUTPUTS, OR ANY COMMUNICATIONS OR INTERACTIONS THROUGH THE SERVICE, REGARDLESS OF THE LEGAL THEORY AND WHETHER OR NOT LOOKLAB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2 Cap on Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE LOOKLAB PARTIES TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (I) THE TOTAL AMOUNT PAID BY YOU TO LOOKLAB DURING THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR (II) ONE HUNDRED U.S. DOLLARS ($100) / ONE HUNDRED EUROS (€100) (WHICHEVER APPLIES BASED ON YOUR BILLING CURRENCY).

12.3 Exceptions

Nothing in this Agreement excludes or limits Looklab's liability for: (i) death or personal injury caused by negligence; (ii) fraud or fraudulent misrepresentation; (iii) any liability that cannot be excluded or limited under applicable mandatory law (including under U.S. state consumer-protection law or EU consumer-protection law).

12.4 Basis of the Bargain

The limitations of damages set forth above are fundamental elements of the basis of the bargain between Looklab and you.

13. Intellectual Property Infringement Claims (DMCA and EU Notice Procedure)

It is Looklab's policy to terminate the Account of any user who repeatedly infringes copyright, trademark, or other intellectual property rights upon prompt notification by the rights owner or their agent.

13.1 DMCA Notices (U.S.)

If you believe that material on the Service infringes a copyright you own (or are authorized to act on behalf of), please send a notice under the U.S. Digital Millennium Copyright Act ("DMCA") containing the following: (i) an electronic or physical signature of the person authorized to act on behalf of the copyright owner; (ii) a description of the copyrighted work claimed to be infringed; (iii) a description of the location on the Service where the allegedly infringing material is located; (iv) your address, telephone number, and email; (v) a statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; (vi) a statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

13.2 EU Notices

If you are submitting a notice in respect of EU intellectual property rights, please include the equivalent information identifying the work claimed to be infringed, the location of the alleged infringement, your contact details, and a good-faith statement.

13.3 Designated Agent

Max Lang Inc., Attn: DMCA / Legal. Email: hello@look-lab.ai.

14. Term and Termination

14.1 Term

This Agreement begins when you first accept it (by clicking "I agree", creating an Account, or using the Service) and continues while you use the Service unless terminated earlier.

14.2 Termination by Looklab

If you materially breach this Agreement, or if Looklab is required to do so by law, Looklab may immediately and without notice suspend or terminate any Service provided to you. Looklab also reserves the right to terminate this Agreement or your access to the Service at any time without cause upon reasonable notice. Where termination is without cause, Looklab will refund the unused balance of any pre-paid amounts corresponding to fees paid.

14.3 Termination by You

You may terminate this Agreement at any time by closing your Account and notifying Looklab at hello@look-lab.ai. Termination of an active Project is governed by the Project Terms.

14.4 Effect of Termination

Upon termination of the Service or your Account, your right to use the Service automatically terminates, and Looklab may delete Your Content from live databases (subject to retention obligations under applicable law). Outputs already delivered to you under valid Project Terms remain licensed for the term of those agreements. Looklab will have no liability for any deletion of Your Content following termination, except as required by mandatory law. All provisions which by their nature should survive termination — including ownership, licenses granted to Looklab under Section 4, indemnification, warranty disclaimers, and limitations of liability — will survive.

14.5 No Subsequent Registration

If your Account is terminated by Looklab for cause, you may not attempt to re-register or access the Service through a different Account.

15. International Use and Export Control

The Service is operated from the United States and the European Union. Looklab makes no representation that the Service is appropriate or available for use in countries other than the U.S. and EU member states. If you access the Service from any other country, you do so at your own initiative and are responsible for compliance with local law.

You may not use or export the Service in violation of U.S., EU, or other applicable export-control or sanctions laws. You represent that you are not located in any sanctioned jurisdiction (including, without limitation, Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, Luhansk, Zaporizhzhia, and Kherson regions of Ukraine) and are not on any prohibited-parties list (including, without limitation, the U.S. Treasury Department's OFAC SDN List or the EU consolidated list of sanctioned persons).

16. EU Users — Additional Provisions

This Section 16 applies in addition to the rest of this Agreement where you are resident in the European Union, and prevails over any conflicting provisions to the extent necessary to comply with mandatory EU consumer-protection law.

16.1 Consumer Rights

Your statutory rights under the EU Consumer Rights Directive (2011/83/EU), the EU Unfair Contract Terms Directive (93/13/EEC), the EU Sale of Goods Directive (EU) 2019/771 (where applicable), the EU Digital Content Directive (EU) 2019/770, and corresponding national implementing legislation are unaffected by this Agreement.

16.2 Right of Withdrawal

See Section 9.7 (EU Right of Withdrawal).

16.3 GDPR

Personal data processed by Looklab is processed in accordance with the EU General Data Protection Regulation (Regulation (EU) 2016/679, "GDPR") and the local data-protection law applicable to you. For details, see our Privacy Notice at https://www.look-lab.ai/privacy.

16.4 EU Online Dispute Resolution

The European Commission provides an online dispute resolution platform available at https://ec.europa.eu/consumers/odr/. Looklab is not currently obligated nor does it consent to participate in alternative dispute resolution before a consumer arbitration board. For consumer complaints, please contact us first at hello@look-lab.ai.

16.5 Non-Application of Arbitration Clause

The mandatory arbitration and class-action waiver in Section 17 (Dispute Resolution) does not apply to consumers resident in the European Union. EU consumers may bring proceedings in the courts of their country of residence as set forth in Section 17.13.

17. Dispute Resolution

17.1 Applicability — U.S. Users

Sections 17.1 through 17.12 apply to users resident in the United States. Subject to the exceptions in Section 17.2, you and Looklab agree that any dispute, claim, or disagreement arising out of or relating in any way to your access to or use of the Service, any Output, any communications you receive, any products sold or distributed through the Service, or this Agreement (including prior versions) ("Dispute") will be resolved by binding individual arbitration rather than in court. For purposes of this Section, "Dispute" includes disputes that arose before the effective date of this Agreement and disputes that may arise after its termination.

17.2 Exceptions

The arbitration requirement in Section 17.1 does not apply to: (i) claims that qualify for and remain in small-claims court; or (ii) claims for equitable relief for infringement or other misuse of intellectual property rights, which may be brought in court.

17.3 Informal Dispute Resolution

Before initiating arbitration, the parties shall attempt to resolve any Dispute informally. The party initiating a Dispute must give written notice to the other party (notices to Looklab to hello@look-lab.ai) describing the Dispute and the relief sought. The parties will then meet and confer (telephonically or via videoconference) within forty-five (45) days, and good-faith informal efforts to resolve the Dispute must be exhausted before commencing arbitration.

17.4 Waiver of Jury Trial

You and Looklab hereby waive any constitutional and statutory rights to sue in court and have a trial before a judge or jury. All Disputes will instead be resolved by arbitration under this Arbitration Agreement, except as specified in Section 17.2.

17.5 Class-Action Waiver

You and Looklab may bring claims against the other only on an individual basis and not on a class, representative, or collective basis. If a court of competent jurisdiction decides that this provision is unenforceable as to a particular claim or remedy, that claim or remedy (and only that claim or remedy) shall be severed and litigated in the state or federal courts located in New York County, New York; all other Disputes shall be arbitrated or heard in small-claims court.

17.6 Rules and Forum

This Agreement evidences a transaction involving interstate commerce, and the Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs its interpretation and enforcement. If informal resolution does not resolve the Dispute within sixty (60) days of notice, either party may commence binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures (or, if applicable, JAMS Comprehensive Arbitration Rules) (the "JAMS Rules"), available at https://www.jamsadr.com/rules-streamlined-arbitration/. Unless otherwise agreed, arbitration will occur in New York County, New York, or, at your election, by videoconference. All materials exchanged during arbitration shall remain confidential.

17.7 Arbitrator

The arbitrator will be selected from the JAMS roster of neutrals. The arbitrator has exclusive authority to resolve any Dispute, including issues of arbitrability and scope, except that disputes about (i) Section 17.5 (Class-Action Waiver), (ii) payment of arbitration fees, or (iii) which version of this arbitration agreement applies, shall be decided by a court of competent jurisdiction.

17.8 Authority of Arbitrator; Award

The arbitrator shall issue a written award stating the essential findings and conclusions. Judgment on the award may be entered in any court having jurisdiction. The arbitrator may only award damages in accordance with Section 12 (Limitation of Liability).

17.9 Attorneys' Fees and Costs

Each party shall bear its own attorneys' fees and costs in arbitration unless the arbitrator finds that either the substance of the Dispute or the relief sought was frivolous or brought for an improper purpose (as measured by Federal Rule of Civil Procedure 11(b)).

17.10 30-Day Right to Opt Out (U.S. Users Only)

You may opt out of this Arbitration Agreement by sending written notice of your decision to opt out to hello@look-lab.ai with the subject line "Arbitration Opt-Out" within thirty (30) days of becoming subject to it. Your notice must include (1) your name and address, (2) the email address associated with your Account (if any), and (3) a clear statement that you wish to opt out of this Arbitration Agreement. Opting out will not affect any other part of this Agreement.

17.11 Invalidity; Expiration

Except as provided in Section 17.5, if any part of this Arbitration Agreement is found invalid or unenforceable, that part shall be severed and the remainder shall remain in full force and effect. Any Dispute must be initiated within the applicable statute of limitations, or it is forever barred.

17.12 Modification

If Looklab makes a future material change to this Arbitration Agreement, we will notify you. Unless you reject the change within thirty (30) days by writing to Looklab at the address above, your continued use of the Service constitutes acceptance of the change. Rejecting a change leaves the prior version (or your prior valid opt-out) in effect.

17.13 EU Consumers — Jurisdiction

For consumers resident in the European Union, the arbitration agreement above does not apply. Any Dispute may be brought in the courts of your country of residence. You also benefit from the mandatory protections of the law of your country of residence.

17.14 Governing Law

Except where superseded by mandatory consumer-protection law, this Agreement is governed by the laws of the State of New York, United States, without regard to conflict-of-laws principles, and consistent with the Federal Arbitration Act. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

18.11 Exclusive Venue (Where Litigation Permitted)

Where litigation in court is permitted (for example, claims for equitable relief under Section 17.2, or U.S. users who validly opt out of the Arbitration Agreement under Section 17.10), all such claims and disputes shall be litigated exclusively in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction in those courts. This Section does not apply to consumers resident in the European Union, who may bring proceedings as set forth in Section 17.13.
